Terms of Service

1. Acceptance of Terms

By accessing or using the NeuralRev platform and services ("Services"), including this Trust Center, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services. These Terms constitute a legally binding agreement between you (or the entity you represent) and NeuralRev Technologies ("NeuralRev," "we," "us," or "our").

2. Description of Services

NeuralRev provides a healthcare revenue cycle management (RCM) platform that includes eligibility verification, prior authorization, charge capture, claims management, payment processing, and related analytics. This Trust Center provides real-time system status, incident reporting, maintenance schedules, and support ticketing for our platform.

3. Eligibility and Account Registration

You must be at least 18 years old and authorized to bind the entity you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of healthcare regulations
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Transmit malicious code, viruses, or harmful data
• Use the Services to store or transmit content that violates third-party rights

5. Healthcare Compliance

NeuralRev operates in compliance with applicable healthcare regulations including HIPAA. Where a Business Associate Agreement (BAA) is required, such agreement must be executed separately. You are responsible for ensuring your use of the Services complies with all applicable laws and regulations, including but not limited to HIPAA, HITECH, and state privacy laws.

6. Data Ownership and Licensing

You retain all rights to data you submit to the Services ("Your Data"). You grant NeuralRev a limited, non-exclusive license to process Your Data solely to provide the Services. We do not sell, share, or use Your Data for purposes unrelated to service delivery.

7. Intellectual Property

All rights, title, and interest in the Services (including software, documentation, trademarks, and trade secrets) remain with NeuralRev. Nothing in these Terms transfers any intellectual property rights to you beyond the limited license to use the Services.

8. Service Level and Availability

We strive to maintain high availability of our Services. Current system status is available on this Trust Center. Specific uptime commitments, if any, are governed by your separate service agreement or order form. Scheduled maintenance windows will be communicated in advance through this Trust Center.

9. Fees and Payment

Fees for the Services are set forth in your order form or service agreement. All fees are non-refundable unless otherwise stated. We reserve the right to suspend access for overdue payments after reasonable notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURALREV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless NeuralRev from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service relationship as specified in the applicable service agreement. We may suspend or terminate access immediately if you breach these Terms. Upon termination, your right to use the Services ceases, and we will handle Your Data in accordance with our data retention policies and applicable law.

13. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Services. Continued use after changes constitutes acceptance. We encourage you to review these Terms periodically.

14. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Hyderabad, India, unless otherwise agreed in your service agreement.
